2) Definitions
- Seat
- One paid membership granting individual access to Techleap products based on the purchased plan.
- Founder
- An individual who helped establish the company and held equity at founding.
- Leader
- A person in a senior role with strategic decision-making responsibility (C-level or equivalent).
- Founder Account Owner
- A Founder administering the Member account who may purchase Seats, assign them, and transfer them as needed. At least one Founder Seat must remain active.

- Platform
- Techleap's online community access system provided "as is" with best-effort availability.
3) What membership gives you
Seat purchasers receive the right to participate in Techleap products, access the Platform, and join included events. Benefits commence upon full payment receipt.
1. Seats, access, and participation
1.1 Seat-based membership
Membership operates on a pay-per-seat model. Each Seat serves one person. Techleap may offer different Seat types with varying pricing by stage or package.
1.2 Assigning and transferring Seats
The Founder Account Owner assigns Seats through Techleap's registration process. Each Seat is tied to one individual and cannot be shared. Transfers are permitted when the original holder leaves, changes roles, or no longer needs access, provided the replacement meets eligibility requirements and the transfer is registered. Techleap may refuse transfers appearing to bypass pricing or participation rules. Continuous Seat rotation will be treated as unauthorized sharing.
1.3 Only authorised Seat holders may participate
Only registered and assigned individuals may access services. Unauthorized access or exceeding purchased Seats permits Techleap to charge additional fees, suspend access, or terminate the Agreement.
1.4 Community Criteria apply
Members ensure all Seat holders follow Community Criteria. Disruptive, offensive, or harmful behavior may result in suspension or removal.
1.5 No reselling or sharing access
Members cannot sublicense, resell, distribute access, allow third-party use, or charge others for participation, including sharing login details informally.
1.6 Events and sessions are best-effort
Techleap makes reasonable efforts delivering regular events but does not guarantee event frequency, timing, speakers, agenda content, or capacity. Some activities may be limited or invite-only.
1.7 Products evolve
Techleap may improve, adapt, rename, restructure, or discontinue products and Platform components to deliver ongoing value.
1.8 Eligibility and participation quality
Some products and sessions have specific audience requirements. Techleap may decline, limit, or remove participation to protect community trust, session quality, group integrity, or intended purposes.
2. Product-specific terms
2.1 Connect
Connect provides baseline community access including events, platform access, and curated networking as the default entry product.
2.2 Circles
Circles are small recurring peer groups potentially requiring upgraded Seats, attendance commitment, and group quality adherence. Individuals may be removed for participation quality drops or standard breaches.
2.3 Cities (international trips)
Cities are international trips typically offered as paid add-ons. Trips involve third-party partners and limited seats. Techleap bears no responsibility for disruptions from travel providers, authorities, or force majeure.
3. Invoicing and payment
3.1 Billing options
Members select either yearly (default) or quarterly payment for the full contract term unless otherwise agreed in writing.
3.2 Invoicing schedule
Initial invoices are pro-rata calculated until the next billing period. Subsequently, invoices follow the chosen schedule: yearly (first contract year day) or quarterly (first calendar quarter day). Circles add-on fees are included in the next regular invoice with pro-rata calculation from the Circle start date.
3.3 Payment term
Invoices require payment within 15 calendar days. Unpaid invoices place the Member in automatic default without additional notice. Techleap may suspend access until full payment receives.
3.4 Changes to pricing
Techleap may adjust pricing annually with at least 30 days' written advance notice.
3.5 Taxes (VAT)
All fees exclude VAT and applicable taxes unless otherwise stated on invoices.
3.6 No refunds
Membership fees cover access during the contract period and are non-refundable regardless of Platform use, event attendance, or Seat utilization. Refunds apply only where the Agreement explicitly provides or applicable law requires them.
3.7 Collection costs
Late payment may incur statutory interest and reasonable collection costs per applicable Dutch law.
4. Confidentiality and community trust
4.1 Confidentiality is part of the deal
Techleap sessions involve candid discussions about growth, strategy, and lessons learned. Confidentiality enables free participation and is a core membership condition.
4.2 Chatham House Rules
Unless explicitly stated otherwise, sessions operate under Chatham House Rules: participants may use shared information but cannot reveal speakers, identify companies, or share details enabling identification.
4.3 What counts as a confidentiality breach
Breaches include quoting or attributing participants, sharing traceable examples or business information, using session information in public communications (LinkedIn, podcasts, blogs, talks, press, newsletters), or sharing with third parties for commercial use, investor conversations, sales, competitor research, recruitment, or other purposes. Information from sessions cannot be attributed to external sources.
4.4 Zero tolerance policy
Techleap enforces zero tolerance for confidentiality breaches, permitting immediate individual removal from sessions or Platform access, partial or complete subscription suspension, or full Agreement termination to protect community integrity.
4.5 Member responsibility
Members ensure all Seat holders understand and follow confidentiality rules.
5. Liability and disclaimers
5.1 Liability cap
Techleap's annual liability is limited to Member payments in that calendar year.
5.2 No indirect damages
Techleap assumes only direct damage liability. It excludes lost profits, business opportunities, data loss, reputational harm, and internal costs.
5.3 No professional advice
Techleap provides no legal, financial, tax, HR, or investment guidance. Members and Seat holders bear responsibility for their decisions.
5.4 No guarantee of outcomes
Techleap guarantees no outcomes, results, growth, fundraising, hires, partnerships, or performance improvements.
5.5 Exceptions
Liability limits do not apply to willful misconduct or intentional recklessness.
6. Term and termination
6.1 Term and renewal
The Agreement runs one calendar year with automatic annual renewal unless cancelled in writing at least one month before renewal.
6.2 Member cancellation per quarter
Members may cancel effective at any calendar quarter end with one month's written notice before quarter termination.
6.3 Termination for cause
Either party may terminate immediately if the other materially breaches and fails to cure within 30 days of written notice, or becomes insolvent, bankrupt, dissolved, or ceases operations.
6.4 Techleap termination rights
Techleap may terminate immediately for Community Criteria or confidentiality breaches, with four months' notice for convenience (with pro-rata full-month refunds), or immediately if force majeure blocks performance exceeding 60 days (with pro-rata refunds).
6.5 After termination
Termination ends all access. Members and Seat holders must cease Platform use and product participation.
6.6 Terms that survive termination
Accrued rights and obligations persist. Payment obligations, confidentiality, liability, and governing law provisions survive termination.
7. Force majeure
7.1 Force majeure
Neither party bears liability for failures or delays from uncontrollable events including fire, flood, war, terrorism, strikes, epidemics, pandemics, government restrictions, third-party infrastructure failures, or Platform downtime.
8. Privacy and data
8.1 Personal data
Techleap processes personal data from Members and Seat holders to provide services and operate the Platform in accordance with its Privacy Policy available on the Platform.
9. Miscellaneous
9.1 Written notice
Written notices must be sent by email to the official Techleap address on the Platform. Other email addresses may not constitute valid delivery.
9.2 No transfer without consent
Members cannot assign or transfer the Agreement without Techleap's consent.
9.3 No third-party rights
Third parties derive no rights from this Agreement unless explicitly stated.
9.4 Relationship of the parties
The Agreement creates no partnership, joint venture, employment, or agency relationship.
9.5 Entire agreement
This Agreement constitutes the complete understanding regarding Techleap membership, superseding prior discussions.
9.6 If a clause is invalid
Invalid clauses are replaced with valid alternatives matching original intent while maintaining remaining provisions.
10. Governing law and jurisdiction
This Agreement is governed by Dutch law. Disputes are brought before the competent Amsterdam, Netherlands court.
